These Terms of Service (the Terms) govern your installation of and access to the SEOBoss Blog Engine Shopify application, website, and related services (together, the Services). The Services are operated by Dotcom Publishing trading as SEOBoss (SEOBoss, we, us, or our).

By installing, subscribing to, accessing, or using the Services, you agree to these Terms. If you use the Services for a business or another legal entity, you confirm that you have authority to accept these Terms on its behalf.


1. Eligibility and your account

The Services are designed for Shopify merchants and their authorised representatives. You must be legally able to enter into these Terms and must provide accurate account and store information.

You are responsible for:

  • maintaining the security of your Shopify account and connected services;
  • controlling which staff members may access SEOBoss;
  • all activity performed through your store's authorised access; and
  • promptly notifying us if you suspect unauthorised access or misuse.

2. What SEOBoss provides

SEOBoss is a Shopify content workflow that can help merchants research content opportunities, prepare article titles and briefs, draft blog content, create or organise images, add metadata and internal links, review search-performance information, and manage a publishing pipeline.

Some features use store information such as products, useful pages, published articles, saved ideas, merchant instructions, and connected Google Search Console data to make outputs more relevant to the store. Feature availability depends on your plan, configuration, connected services, and current product limits.

SEOBoss may create Shopify blog drafts by default. If you expressly enable an Agent publishing mode, SEOBoss may also publish content according to the settings and cadence you select. You remain in control of whether the Agent is enabled and whether its mode is draft or publish.


3. Artificial intelligence and automated output

The Services use artificial intelligence and automated systems. AI-generated or automated output may be inaccurate, incomplete, outdated, unsuitable, non-unique, or inconsistent with your instructions. It may also contain factual, legal, regulatory, intellectual-property, brand, product, health, or safety issues.

You must exercise independent judgement and review output before relying on or publishing it. In particular, you are responsible for checking:

  • facts, claims, quotations, sources, statistics, and product information;
  • medical, health, financial, legal, environmental, comparative, and other regulated claims;
  • links, metadata, images, alt text, formatting, and publication settings;
  • compliance with advertising, consumer, privacy, intellectual-property, and industry rules; and
  • whether content is appropriate for your audience, market, products, and brand.

SEOBoss does not provide legal, medical, financial, regulatory, or other professional advice.


4. No guarantee of rankings, traffic, sales, or other results

SEOBoss is a content and workflow tool. We do not guarantee any particular search-engine ranking, indexing outcome, traffic level, impression count, click volume, backlink, conversion rate, revenue, sales result, customer response, AI-search citation, AI visibility, or inclusion in any search engine, answer engine, platform, or recommendation system.

Search engines, AI systems, social platforms, Shopify, and other third parties control their own algorithms, policies, interfaces, and results. These can change without notice. Content performance depends on many matters outside our control, including your website, products, competition, market, content quality, authority, technical setup, customer demand, publishing decisions, and third-party systems.

Any metrics, recommendations, forecasts, examples, opportunities, scores, or performance information shown by SEOBoss are informational signals only. They are not promises or guarantees of future performance.


5. Merchant responsibility and publishing controls

You are responsible for all content, instructions, settings, products, URLs, reference material, and other information you provide to the Services (your Inputs), and for all content or assets produced through the Services (the Outputs) that you use, approve, publish, distribute, or rely on.

You must have the rights and permissions needed for your Inputs and your intended use of the Outputs. You are also responsible for your Shopify store, its legal disclosures, customer communications, product claims, and compliance obligations.

If you enable automated drafting or publishing, you are responsible for selecting suitable settings, monitoring the resulting activity, maintaining an adequate approved pipeline, and pausing or disabling the Agent when appropriate. Automation does not transfer editorial or legal responsibility to SEOBoss.


6. Plans, trials, allowances, and credits

Plan prices, included features, usage allowances, trial entitlements, and additional credit options are displayed in the Shopify App Store, Shopify's billing interface, or the App. They may differ by plan and may change for future billing periods or purchases.

Usage may be measured by billing cycle, successful generation, requested job, article, image type, keyword run, or another unit described in the App. Some features may have per-item attempt limits or fair-use safeguards. Unless stated otherwise:

  • unused allowances or credits do not have cash value;
  • allowances and credits cannot be transferred between stores or accounts;
  • included allowances may reset rather than roll over at the end of a billing period;
  • purchased credits are used only for the eligible features described when purchased; and
  • we may prevent excessive, abusive, automated, or technically harmful usage.

The App will normally show the applicable allowance or credit treatment before or after a job. If a provider or system failure prevents successful completion, the treatment of that attempt will follow the rules displayed in the App at that time.


7. Subscriptions, billing, taxes, and cancellation

Paid App subscriptions and eligible usage charges are processed through Shopify and may appear on your Shopify invoice. By selecting a paid plan or paid feature, you authorise the applicable charges through Shopify's billing system.

You are responsible for applicable taxes and for keeping your Shopify billing information current. Shopify controls its billing processes, invoice timing, currency conversion, and collection methods.

You may cancel the App subscription through Shopify. Cancellation or uninstallation stops future recurring App charges in accordance with Shopify's billing process, but does not automatically reverse charges already incurred, pending usage charges, or amounts already billed.


8. Refunds

Refund requests are considered in accordance with our Refund Policy, Shopify's applicable billing processes, and any rights or remedies that cannot lawfully be excluded.

Unless required by law or expressly stated in the Refund Policy, we do not provide refunds solely because content did not achieve a desired ranking, traffic, sales, AI-visibility, or other performance outcome.


9. Acceptable use

You must not use, or help another person use, the Services to:

  • break any law, regulation, court order, contract, or third-party right;
  • create or distribute unlawful, fraudulent, deceptive, defamatory, abusive, discriminatory, or harmful material;
  • infringe copyright, trade marks, privacy, publicity, confidentiality, or other rights;
  • make unsupported, prohibited, or misleading product, health, safety, financial, environmental, or comparative claims;
  • introduce malware, harmful code, or content intended to disrupt a service or system;
  • probe, bypass, disable, or interfere with security, authentication, usage limits, billing controls, or access restrictions;
  • scrape, overload, reverse engineer, copy, resell, sublicense, or commercially exploit the Services except as lawfully permitted;
  • misrepresent automated content as independently verified expertise where that would be misleading; or
  • violate Shopify's, Google's, an AI provider's, or another connected provider's applicable terms or policies.

We may investigate suspected misuse and may restrict, suspend, or terminate access where reasonably necessary to protect merchants, third parties, the Services, or our legal obligations.


10. Inputs, Outputs, and intellectual property

You retain your rights in your Inputs. You grant SEOBoss a limited, non-exclusive licence to host, copy, process, transmit, adapt, and use your Inputs only as reasonably necessary to provide, secure, support, and improve the Services, comply with law, and enforce these Terms, subject to our Privacy Policy.

As between you and SEOBoss, and to the extent permitted by applicable law, you own the Outputs created specifically for your store. However, AI-generated content may not qualify for intellectual-property protection in every jurisdiction, and similar or identical output may be generated for other users. We do not promise that any Output is unique, registrable, non-infringing, or exclusive.

SEOBoss and its licensors retain all rights in the Services, software, source code, interfaces, workflows, prompts, templates, designs, documentation, trade marks, branding, know-how, and technology. These Terms do not transfer ownership of the Services to you.

If you provide feedback or suggestions about SEOBoss, you permit us to use them without restriction or payment, provided we do not publicly identify you without permission.


11. Reference material, links, and third-party content

The Services may process product pages, store pages, articles, URLs, search data, images, or other reference material. You are responsible for ensuring you may lawfully provide and use that material.

Links, citations, product references, and third-party information may change, become unavailable, or be incorrect. You must check them before publication. SEOBoss does not endorse or control third-party websites or content merely because the Services refer or link to them.


12. Google Search Console and connected data

If you connect Google Search Console, SEOBoss may use the read-only access you authorise to display or analyse relevant search-performance information for your store. Google controls the source data, reporting delays, account permissions, and continued availability of its services.

We do not guarantee that Google data is complete, current, error-free, or available at all times. You may disconnect Google access through the App or your Google Account, subject to the functionality provided by those services.


13. Privacy and data handling

Our collection, use, storage, sharing, retention, and deletion of personal and store information is described in the SEOBoss Privacy Policy. By using the Services, you acknowledge that information may be processed by service providers needed to operate SEOBoss, including Shopify, cloud hosting and database providers, workflow providers, Google when connected, and AI or media providers used for requested features.


14. Third-party services

The Services depend on or integrate with third-party platforms and providers, including Shopify, Google, AI providers, hosting providers, database providers, and workflow or media services. Your use of those services may also be governed by their own terms and policies.

We are not responsible for third-party outages, delays, changes, suspensions, data errors, API restrictions, policy decisions, or discontinued features. A third-party change may require us to modify, restrict, replace, or discontinue part of the Services.


15. Service availability and changes

We aim to provide a reliable service, but we do not guarantee uninterrupted, timely, secure, or error-free availability. Maintenance, provider outages, rate limits, network failures, security events, Shopify changes, or other circumstances may delay or prevent a job.

We may update, improve, add, remove, limit, or discontinue features. Where reasonably practicable, we will give notice of a material change that significantly reduces a paid Service. We may make immediate changes where necessary for security, law, provider requirements, or service integrity.


16. Suspension and termination

You may stop using the Services or uninstall the App at any time. We may suspend or terminate your access if:

  • you materially breach these Terms or an applicable law;
  • charges remain unpaid or Shopify indicates that billing authorisation is no longer valid;
  • your use creates a security, legal, operational, or reputational risk;
  • a third-party platform requires us to do so; or
  • continuing to provide the Services is no longer reasonably practicable.

Where appropriate, we will try to give notice and a reasonable opportunity to remedy a breach. We may act immediately where urgent protection is required.

Provisions that by their nature should continue after termination remain in effect, including intellectual-property, disclaimers, liability, and dispute provisions. Data handling after uninstall or termination is governed by our Privacy Policy and applicable platform requirements.


17. Disclaimers

To the maximum extent permitted by law, the Services are provided on an as is and as available basis. We do not warrant that the Services or Outputs will be uninterrupted, error-free, accurate, complete, unique, fit for a particular purpose, or suitable for publication without review.

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, remedy, or liability that cannot lawfully be excluded, restricted, or modified under applicable law.


18. Limitation of liability

To the maximum extent permitted by law, SEOBoss and its owners, personnel, contractors, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, sales, business opportunity, goodwill, anticipated savings, rankings, traffic, data, or content, arising out of or relating to the Services.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the total amount you paid for SEOBoss during the three months immediately before the event giving rise to the claim.

These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose, but they do not apply to liability that cannot lawfully be limited.


19. Indemnity

To the extent permitted by law, you agree to indemnify SEOBoss against third-party claims, losses, liabilities, and reasonable costs arising directly from your unlawful Inputs, your publication or use of Outputs, your infringement of a third-party right, or your material breach of these Terms. This does not require you to indemnify us to the extent a claim was caused by our own breach, negligence, or unlawful conduct.


20. Changes to these Terms

We may update these Terms to reflect changes to the Services, providers, pricing structures, legal requirements, or business practices. We will update the effective date and, where reasonably practicable, provide notice of material changes through the App, our website, Shopify, or email.

If you continue to use the Services after updated Terms take effect, you agree to the updated Terms. If you do not agree, you must stop using the Services and cancel or uninstall the App.


21. Governing law and disputes

These Terms are governed by the laws of New Zealand, without regard to conflict-of-law rules. You and SEOBoss agree to first try in good faith to resolve any dispute by contacting the other party. If a dispute cannot be resolved informally, it will be subject to the non-exclusive jurisdiction of the courts of New Zealand.


22. General terms

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent, except as part of a lawful transfer of your business and Shopify store. We may assign these Terms as part of a reorganisation, sale, or transfer of the Services.

Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations. These Terms, together with the policies expressly linked in them and any applicable plan or purchase terms shown through Shopify, form the agreement between you and SEOBoss regarding the Services.
